These Terms govern your access to and use of Velexar, including AI CV analysis, project specifications, interview preparation tools, and credit-based features.
1. Overview
These Terms of Service (“Terms”) govern your access to and use of Velexar, including our website, web application, AI-powered analysis tools, enterprise project specifications, interview preparation resources, credit-based features, and any related services (collectively, the “Service”).
By accessing, browsing, registering for an account, uploading content, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be legally bound by these Terms.
If you do not agree to these Terms, you must not access or use the Service.
These Terms apply to all users of the Service, including visitors, registered users, credit holders, and paid subscribers.
Your use of the Service may also be subject to additional policies, including our Privacy Policy and any feature-specific guidelines. In the event of any conflict between these Terms and another policy, these Terms shall prevail unless explicitly stated otherwise.
These Terms are effective as of the date published above and may be updated from time to time in accordance with Section 2.
2. Binding Agreement & Updates
These Terms constitute a legally binding agreement between you and Velexar governing your access to and use of the Service.
By creating an account, accessing, or using the Service in any manner, you agree to be bound by these Terms and any policies incorporated by reference, including our Privacy Policy.
We may revise, modify, or update these Terms from time to time at our discretion. The updated version will be posted on this page with a revised “Last updated” date.
Where changes materially affect your rights or obligations, we may provide reasonable notice through the Service or via the email associated with your account. Continued use of the Service after the effective date of revised Terms constitutes your acceptance of the updated Terms.
If you do not agree to any revised Terms, you must discontinue use of the Service and may delete your account at any time.
Your use of certain features or paid services may be subject to additional terms, guidelines, or agreements. In the event of any conflict between those additional terms and these Terms, the additional terms will govern solely with respect to the applicable feature.
Except as expressly provided otherwise, these Terms supersede any prior agreements or understandings between you and Velexar regarding the Service.
3. Registration & Eligibility
To register for and use certain features of the Service, you must be legally capable of entering into a binding contract under the laws of your jurisdiction. By creating an account, you represent and warrant that you meet this requirement.
You must provide accurate, current, and complete information during registration and keep your account information updated at all times. Failure to do so may result in suspension or termination of your account.
You may not create an account on behalf of another person unless you have lawful authority to do so. You must not impersonate any individual or entity, misrepresent your identity, or provide false or misleading information.
Unless otherwise expressly permitted, you may maintain only one account. We reserve the right to suspend, merge, or delete duplicate or fraudulent accounts at our discretion.
We reserve the right to refuse registration, suspend access, or terminate accounts if we reasonably believe that you have violated these Terms, provided false information, or pose a security or operational risk.
If you register or use the Service on behalf of a company or other entity, you represent and warrant that you have the authority to bind that entity to these Terms.
4. Account Security
When you register an account, you may be required to create login credentials or authenticate using third-party identity providers such as Google or LinkedIn (“Login Credentials”). You are responsible for maintaining the confidentiality and security of your Login Credentials.
You must not share, disclose, or permit access to your Login Credentials to any third party. You are solely responsible for all activities that occur under your account, whether authorised by you or not.
You agree to notify us immediately if you become aware of any unauthorised access, suspected breach of security, or misuse of your account.
If we reasonably believe that your account has been compromised, misused, or presents a security risk, we may suspend or restrict access, require you to reset credentials, or take other protective measures.
Velexar is not liable for any loss, damage, or unauthorised activity resulting from your failure to safeguard your Login Credentials. Any losses arising from your failure to maintain confidentiality shall be borne by you to the maximum extent permitted by law.
You are responsible for ensuring that any device used to access the Service is secure and protected against malware, unauthorised access, or compromise.
5. Intellectual Property
All rights, title, and interest in and to the Service, including but not limited to the platform design, user interface, branding, software, architecture, AI systems, project frameworks, interview materials, databases, and underlying technology, are owned by Velexar or its licensors and are protected by intellectual property laws.
Subject to your compliance with these Terms, Velexar grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service solely for your personal, non-commercial career development purposes.
You retain ownership of content that you upload to the Service, including resumes, documents, and related materials (“User Content”). By uploading User Content, you grant Velexar a worldwide, non-exclusive, royalty-free licence to use, process, analyse, store, reproduce, and generate derivative outputs from such content solely for the purpose of providing and improving the Service.
AI-generated outputs, structured recommendations, and reformatted content created through your use of the Service are provided to you for personal use. Velexar retains ownership of the underlying models, templates, system logic, frameworks, scoring methodologies, and proprietary structuring systems used to generate such outputs.
You may not reproduce, distribute, resell, sublicense, reverse engineer, or commercially exploit any part of the Service, including enterprise project specifications, interview databases, templates, or proprietary frameworks, without prior written consent.
We welcome feedback and suggestions regarding the Service. By submitting feedback, ideas, or improvements, you grant Velexar a perpetual, irrevocable, royalty-free right to use and incorporate such feedback without compensation to you.
The Service may incorporate open-source software components, which are governed by their respective licences.
6. Availability of the Service
While we aim to provide a reliable and high-quality Service, we do not guarantee that the Service will be uninterrupted, secure, timely, error-free, or free from defects.
The Service may be unavailable from time to time due to maintenance, upgrades, system failures, third-party infrastructure issues, or events beyond our reasonable control. We reserve the right to modify, suspend, restrict, or discontinue any part of the Service at any time without prior notice.
You acknowledge that access to the Service may be dependent on third-party providers, including cloud infrastructure, identity providers, analytics providers, and AI processing services. Velexar is not responsible for outages, interruptions, or performance issues caused by third-party systems.
We do not warrant that files available for upload or download through the Service will be free from viruses, malware, or other harmful components. You are responsible for implementing appropriate security measures and backup procedures.
To the maximum extent permitted by law, Velexar disclaims liability for any loss of data, interruption of service, corruption of files, or other damages arising from system outages, technical failures, or external interference.
You are responsible for maintaining independent backups of your documents and content. Velexar does not guarantee permanent storage or retention of uploaded materials.
7. Acceptable Use
You agree to use the Service in a lawful, responsible, and fair manner. You must not use the Service in any way that violates applicable laws, infringes rights, or interferes with the operation of the platform.
Without limitation, you agree that you will not:
- Upload, transmit, or generate unlawful, defamatory, fraudulent, discriminatory, abusive, threatening, obscene, or misleading content.
- Upload content containing highly sensitive personal information that is not necessary for career-related purposes, including financial details, government identification numbers, medical records, or confidential third-party data.
- Impersonate any person or entity, misrepresent your identity, qualifications, affiliations, or experience.
- Use the Service to generate deceptive resumes, false credentials, fabricated employment history, or misleading claims.
- Use automated systems, bots, scripts, crawlers, scraping tools, or data harvesting techniques to access, extract, copy, or monitor any portion of the Service without prior written consent.
- Reverse engineer, decompile, disassemble, or attempt to derive the source code, models, algorithms, or proprietary methodologies underlying the Service.
- Use outputs, structured content, enterprise project frameworks, or interview materials to train artificial intelligence models, build competing systems, or commercially exploit Velexar’s intellectual property.
- Attempt to probe, scan, test, or breach the security or integrity of the Service, including accessing accounts or data not intended for you.
- Interfere with or disrupt the performance, availability, or infrastructure of the Service, including through denial-of-service attacks, overloading, spamming, or similar conduct.
- Transmit malware, viruses, worms, trojans, spyware, or other malicious or destructive code.
- Use the Service for political campaigning, unlawful discrimination, harassment, or activities that promote hate, violence, or illegal conduct.
- Share login credentials with third parties or allow unauthorised access to your account.
We reserve the right, acting reasonably, to investigate suspected violations, remove content, suspend or terminate accounts, and cooperate with law enforcement authorities where appropriate.
8. Fair Use & Automation
The Service is designed for individual, human use in connection with legitimate career development purposes. You must use the Service in a fair, reasonable, and lawful manner.
Except where expressly authorised by us in writing, you must not:
- Use bots, scripts, crawlers, headless browsers, automation tools, or similar technical means to access, query, extract, or replicate any portion of the Service.
- Scrape, harvest, copy, export, download, or systematically collect enterprise project packs, interview databases, structured outputs, or other platform content.
- Attempt to bypass credit systems, usage limits, subscription controls, rate limits, or technical safeguards.
- Create multiple accounts to circumvent feature limitations, promotional restrictions, or usage caps.
- Use outputs, project specifications, interview materials, system designs, or structured content to train, fine-tune, or improve machine learning or AI systems.
- Resell, redistribute, sublicense, commercially exploit, or publicly share paid content or generated materials without our express written permission.
We may implement technical measures including rate limiting, traffic monitoring, anomaly detection, device fingerprinting, and automated abuse detection to enforce fair use. Circumventing such measures is strictly prohibited.
We may, acting reasonably, suspend, restrict, or terminate access to the Service where we believe your usage exceeds what a reasonable person would consider fair use, or where your activity poses operational, security, or commercial risk.
9. AI & Output Disclaimer
Velexar uses automated systems, artificial intelligence, machine learning models, and algorithmic analysis to generate suggestions, project specifications, interview materials, resume rewrites, and related outputs.
Outputs generated by the Service may contain inaccuracies, omissions, outdated information, or reasoning errors. AI-generated content is probabilistic and may not reflect current market standards, regulatory requirements, employer expectations, or factual correctness.
You are solely responsible for reviewing, verifying, editing, and validating any output before relying on it, publishing it, submitting it to employers, or using it in professional contexts.
Velexar does not provide legal, financial, professional, recruiting, or employment advice. Nothing generated by the Service should be interpreted as a guarantee of interview invitations, job offers, compensation outcomes, visa eligibility, or career advancement.
You acknowledge that employment decisions are made by third-party employers or recruiters and are outside the control of Velexar. We make no representations regarding the suitability, accuracy, reliability, or completeness of generated content.
To the maximum extent permitted by law, Velexar disclaims liability for any losses, reputational harm, missed opportunities, misrepresentations, or damages arising from reliance on AI-generated outputs.
10. Data & Personal Information Responsibility
Velexar allows users to upload resumes, documents, text, and related materials (“User Content”) for automated analysis and content generation.
You are solely responsible for all content you upload, submit, generate, or transmit through the Service. You represent and warrant that:
- You own the content or have all necessary rights and permissions to upload it.
- You have obtained all required consents from third parties whose information appears in the content.
- Your upload does not violate privacy, confidentiality, employment, or data protection laws.
Velexar does not require highly sensitive personal information in order to provide its services. You should remove or redact any sensitive information before uploading documents, including but not limited to:
- Government identification numbers (passport, tax file number, driver licence)
- Bank account, credit card, or financial information
- Full residential address
- Medical or health information
- Passwords, access credentials, or authentication tokens
- Confidential third-party data
- Information protected by non-disclosure agreements
Uploading sensitive information is done at your own risk. Velexar disclaims responsibility for any consequences arising from your decision to upload such data.
You acknowledge that User Content may be processed by automated systems, artificial intelligence models, and third-party infrastructure providers (including cloud hosting, storage, analytics, and identity services) for the purpose of delivering the Service.
Processing may occur in jurisdictions outside your country of residence. By using the Service, you consent to such cross-border data transfers.
While we implement reasonable administrative, technical, and organisational safeguards, no system is completely secure. You acknowledge the inherent risks of electronic transmission, cloud storage, and internet-based processing.
To the maximum extent permitted by law, Velexar disclaims liability for unauthorised access, disclosure, alteration, corruption, or loss of data resulting from cyberattacks, third-party breaches, infrastructure failures, force majeure events, or circumstances beyond our reasonable control.
Velexar may retain anonymised, aggregated, or de-identified data derived from User Content for the purpose of improving the Service, research, analytics, and product development, provided such data cannot reasonably be used to identify you.
We do not guarantee permanent storage of uploaded materials. You are responsible for maintaining independent backups of your documents and generated outputs.
11. Credits & Payments
Certain features of the Service may require the purchase of credits, subscriptions, or other paid access (“Paid Features”). By purchasing Paid Features, you agree to the pricing, billing terms, and conditions presented at the time of purchase.
All prices are displayed in the applicable currency and may be subject to taxes, fees, or currency conversion charges. You are responsible for any applicable taxes or third-party transaction fees.
Unless required by applicable law, all purchases are final and non-refundable. Credits have no cash value, are non-transferable, and may not be resold, assigned, or exchanged.
We reserve the right to modify pricing, credit structures, subscription plans, feature access, or billing models at any time. Changes will not affect previously purchased credits unless required by law or clearly disclosed.
Credits may expire if not used within the period specified at the time of purchase. If no expiry period is specified, we may impose a reasonable expiration policy in the future with prior notice.
If you initiate a chargeback, payment dispute, or reversal with your payment provider, we may suspend or terminate your account pending resolution.
We reserve the right to suspend or terminate accounts where we reasonably suspect fraudulent payment activity, credit abuse, account farming, or attempts to bypass usage restrictions.
Access to Paid Features may be revoked if payment fails, is reversed, or is determined to be unauthorised.
12. Suspension & Termination
We may, acting reasonably and at our discretion, suspend, restrict, or terminate your access to the Service if we believe that you:
- Have breached these Terms;
- Are engaging in unlawful, fraudulent, or abusive conduct;
- Are misusing credits, paid features, or automated systems;
- Are attempting to scrape, replicate, reverse engineer, or commercially exploit the Service;
- Pose a security, operational, legal, or reputational risk to Velexar or its users;
- Have initiated improper chargebacks or payment disputes;
- Have provided false, misleading, or deceptive information.
Suspension may be temporary or permanent. In cases of serious breach, we may terminate access immediately without prior notice.
We may remove or disable access to User Content that we reasonably believe violates these Terms, infringes rights, creates liability, or poses harm to other users or to Velexar.
Termination of your account does not limit our right to pursue other legal remedies available under law.
Upon termination, your right to access the Service will cease. We may delete or deactivate your account and associated data, subject to applicable legal retention requirements and our backup policies.
Provisions of these Terms that are capable of surviving termination (including intellectual property, limitation of liability, disclaimers, indemnities, and governing law) will remain in full force and effect.
13. Limitation of Liability
To the maximum extent permitted by law, Velexar and its affiliates, officers, directors, employees, contractors, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to your use of the Service.
This includes, without limitation:
- Loss of employment opportunities or job offers;
- Loss of income, profits, revenue, or business opportunity;
- Reputational damage or professional harm;
- Reliance on AI-generated outputs or recommendations;
- Data loss, corruption, or unauthorised access;
- Service interruptions, downtime, or system failures;
- Third-party conduct, including employers or recruiters.
To the extent we are found liable for any claim arising from your use of the Service, our total aggregate liability shall not exceed the greater of:
- The total amount you paid to Velexar in the twelve (12) months preceding the claim; or
- USD $100.
Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law, including non-excludable consumer guarantees where applicable.
14. Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Velexar, its affiliates, officers, directors, employees, contractors, and service providers from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your use or misuse of the Service;
- Your breach of these Terms;
- Your violation of any law or regulation;
- Your infringement of intellectual property, privacy, confidentiality, or other rights of any third party;
- Any User Content you upload, submit, generate, publish, or distribute through the Service;
- Your reliance on or publication of AI-generated outputs;
- Any dispute between you and a third party, including employers, recruiters, or other users.
Velexar reserves the right to assume the exclusive defence and control of any matter subject to indemnification, in which case you agree to cooperate fully with such defence.
15. Governing Law & Jurisdiction
These Terms and any dispute arising out of or in connection with the Service shall be governed by and construed in accordance with the laws of Victoria, Australia, without regard to conflict of law principles.
You irrevocably submit to the exclusive jurisdiction of the courts of Victoria, Australia for the resolution of any dispute arising out of or relating to these Terms or the Service.
If you access the Service from outside Australia, you do so at your own initiative and are responsible for compliance with local laws. We make no representation that the Service is appropriate or lawful in all jurisdictions.
16. Miscellaneous
Severability. If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be severed and the remaining provisions shall remain in full force and effect.
No Waiver. Our failure to enforce any right or provision under these Terms shall not constitute a waiver of such right or provision.
Assignment. You may not assign or transfer any rights or obligations under these Terms without our prior written consent. Velexar may assign or transfer these Terms to an affiliate, successor, or purchaser in connection with a merger, acquisition, restructuring, or sale of assets.
Force Majeure. Velexar shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, cyberattacks, government actions, internet outages, or infrastructure failures.
Entire Agreement. These Terms constitute the entire agreement between you and Velexar regarding the Service and supersede any prior agreements, communications, or understandings.
No Third-Party Beneficiaries. These Terms do not create any third-party beneficiary rights.
Survival. Provisions relating to intellectual property, disclaimers, limitation of liability, indemnification, governing law, and any other provisions that by their nature should survive termination shall survive termination of these Terms.
